Resolution, Constitution & By-Laws of the

Altoona High School Alumni Association

RESOLUTION

Whereas: at the initiative of Mr. & Mrs. Ed Peterson and Mr. Harry Bonnell, three loyal friends of the Altoona High School, gathered at a dinner meeting on September 3, 1955 in the new school dining room for the purpose of originating an Alumni Association. At this meeting it was deemed

fitting and proper to bring the alumni of Altoona High School into closer

fellowship and understanding and to foster greater loyalty and

regard for their Alma Mater and,

Whereas: those present elected a staff of officers to promote

such an organization and,

Whereas: the President-Elect appointed a Board of Directors to assist the elected officers in organizing a society to promote a reunion day and draft a

constitution and by-laws for said alumni association and,

Whereas: the elected officers and board of directors have met and prepared this resolution and the following constitution and by-laws.

Therefore, be it resolved the graduates of Altoona High School adopt this constitution and by-laws for the Alumni Association of the

Altoona High School.

Whereas: the needs of the Altoona High School Alumni Association have changed since its founding on September 3, 1955 necessitating amendments to the resolution, constitution, and bylaws of the organization.

Therefore, be it resolved that the resolution, constitution,

and bylaws are hereby amended to read as follows:

Addendum to Resolution

Since the duties of the original Board of Directors, listed above, have been fulfilled, it is not deemed necessary to continue the re-election of a new Board. The original Board members shall have their names recorded to honor their commitment and initiative, but will have no further duties.

CONSTITUTION

ARTICLE I.

Name

The name of the organization shall be

“The Altoona High School Alumni Association”

ARTICLE II.

Object

The object of this association shall be to bring the graduates of Altoona High School into closer fellowship and understanding and to foster

greater loyalty and regard for their Alma Mater.

ARTICLE III.

Membership

Any person receiving a signed diploma from the

Altoona High School shall be eligible for membership.

ARTICLE IV.

Officers

Section 1.

The officers of this organization shall be a President, Vice-President, Secretary, Treasurer and a Database Coordinator. The immediate past president, shall act in Ex-Officio capacity.

Section 2.

The officers shall constitute an Executive Board, which

shall meet at the call of the President.

A Reunion Committee may be appointed by the President,

at the discretion of the Executive Board.

ARTICLE V.

Duties of the Officers/Board of Directors

Section 1.

The President shall preside at all meetings of the Association and the Executive Board; call special meetings, countersign all orders drawn on the treasury and have general supervision of the business of the organization.

Section 2.

The Vice-president shall discharge the duties of the President in his

absence or at the request of the President.

Section 3.

The Secretary shall record the minutes of each meeting of the Association and its Executive Board and submit them for approval at all meetings of the Executive Board; draw orders upon the treasury; and perform

the other duties appropriate to that office.

Section 4.

The Treasurer shall keep a strict account of all money received and render to the Association a report of all monies received and disbursed during his

term of office. Any monies withdrawn from savings accounts shall

be co-signed by the President or Secretary.

Section 5.

The Database Coordinator shall register the names and addresses of

all members of the Association in cooperation with the high school,

maintain the current alumni web page and perform other

duties appropriate to that office.

ARTICLE VI.

Nominations & Election of Officers

Section 1.

The officers of the Association shall be nominated by

a nominating committee, appointed by the Presidentor nominations

may be made from the floor and elected by those registering for the reunion.

The newly elected officers shall enter upon their duties immediately.

Section 2.

The term of office is five (5) years. A current member of the Association mayrepeat a term if nominated and elected.

ARTICLE VII.

Meetings

Section 1.

An annual business meeting will be held on the 3rd Saturday of January, of each year,or as called by the President of the Executive Board.

Section 2.

Notice of the annual business meeting shall be published at least ten (10) days before the dateset by the President of the Executive Board

for said business meeting.

ARTICLE VIII.

Amendments

This constitution may be amended at any regular business meeting by a two-thirds (2/3) vote of the eligible members present and voting provided that a proper notice of each proposed amendment shall be, or have been appended to the call of the meeting.

BY-LAWS

ARTICLE I.

The Executive Board shall have the power to fill the vacancies due to the absence of an officer from meetings, failure of officers to act or carry out duties of their office or resignations that occur between elections.

ARTICLE II.

Committees

The President shall appoint the chairman and members of all Reunion committees such as Press & Publicity, Invitations, Reception, Refreshments, Program, Entertainment and other necessary committees to

fulfill the object of the Association.

ARTICLE III.

Reunion Date

The reunion will be every five (5) years. The date and site will be

determined by the Executive Board. The reunion notification mailing

shall be to all Altoona High School graduates whose graduation

date is fifteen (15) or more years before the reunion date.

ARTICLE IV.

Scholarships

Section 1.

Scholastic Scholarship/s may be awarded annually to an Altoona High School student/s, depending on available funds and a final

decision by the Executive Board. Two recommendations from high

school teachers, counselor and/or administrator will be needed to

determine who will receive the award/s.

Section 2.

The Scholarship/s will be funded by donations from persons interested in

aiding the education of an Altoona student.

ARTICLE V.

Parliamentary Authority

Robert’s Rules of Order, Revised shall be used as a guide to

govern the business activities of the Association.

Amendments

These by-laws may be amended at any regular meeting of the society by a majority vote of the membership present and voting, provided notice of such proposed amendment, shall have been appended to the call for the meeting.

DISSOLUTION

UPON THE DISSOLUTION OF THIS ORGANIZATION, NO

OFFICER, NO MEMBER, OR PRIVATE PERSON SHALL BE ENTITILED TO ANY DISTRIBUTION OR DIVISION OF ITS REMAINING FUNDS. ALL FUNDS REMAINING IN

THE GENERAL FUND AND ALL FUNDS REMAINING IN

THE SCHOLARSHIP FUND SHALL BE TURNED OVER TO

THE ALTOONA HIGH SCHOOL GUIDANCE DEPARTMENT

TO BE DISTRIBUTED AS SCHOLARSHIPS UNTIL DEPLETED.
